Terms of Service

Article 1 (Purpose)

These Terms of Service (hereinafter "Terms") govern the rights, obligations, and responsibilities between Stocel (hereinafter "Company") and users in relation to the use of the Clovbit service (hereinafter "Service").

Article 2 (Definitions)

  • "Service" refers to the Clovbit platform provided by the Company, a SaaS service that uses AI to analyze demo videos and screenshots of web and mobile products, providing UX diagnoses, visual improvement mockups, and developer-ready specs.
  • "User" refers to both members and non-members who use the Service in accordance with these Terms.
  • "Member" refers to a person who has registered as a member by providing personal information to the Company and can continuously use the Service.
  • "Content" refers to all forms of information, including videos, images, and text, that a Member uploads through the Service.

Article 3 (Posting, Effect, and Amendment of Terms)

(1) The Company shall post the contents of these Terms on the Service's initial screen so that Users can easily access them.

(2) The Company may amend these Terms to the extent that they do not violate applicable laws and regulations, including the Act on Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions, and the Act on Promotion of Information and Communications Network Utilization and Information Protection.

(3) When the Company amends these Terms, it shall specify the effective date and the reason for amendment, and post a notice on the Service's initial screen from at least 7 days before the effective date until the day before the effective date. However, for changes unfavorable to Users, notice shall be given at least 30 days in advance, with separate notification by email.

(4) If a User does not agree with the amended Terms, the User may discontinue use of the Service and request account deletion. If the User continues to use the Service after the effective date of the amended Terms, they shall be deemed to have agreed to the amended Terms.

Article 4 (Provision and Modification of Service)

(1) The Company provides the following services:

  • AI-powered UX analysis and diagnostic report generation for web and mobile products
  • Visual improvement mockups and design suggestions
  • Developer-friendly UX improvement specification documents
  • Other services developed or provided through partnerships by the Company

(2) If the Company changes the content of the Service, it shall notify Users of the changes and the provision date through in-service announcements or email.

(3) AI analysis outputs (reports, mockups, specs) are provided as reference suggestions. Final decisions and implementation choices are the responsibility of the User.

Article 5 (Suspension of Service)

(1) The Company may temporarily suspend the provision of the Service in the event of maintenance, replacement, or malfunction of information and communication facilities, loss of communication, or other significant operational reasons.

(2) The Company shall not be liable for damages incurred by Users or third parties due to the temporary suspension of the Service under paragraph (1), unless caused by the Company's willful misconduct or negligence.

Article 6 (Membership Registration)

(1) Users apply for membership registration by filling in information such as email address and password in the form prescribed by the Company and expressing their agreement to these Terms.

(2) The Company may refuse or subsequently terminate a membership registration in the following cases:

  • Application made using another person's identity
  • False information provided or required information not submitted
  • Previously restricted from using the Service due to a violation of these Terms
  • Other registration requirements set by the Company are not met

Article 7 (Membership Withdrawal and Disqualification)

(1) A Member may request withdrawal at any time through the account settings page, and the Company shall process it promptly.

(2) Upon withdrawal, all of the Member's data (uploaded files, analysis reports, personal information, etc.) will be permanently deleted.

(3) The Company may terminate the service agreement or restrict Service use without prior notice if a Member falls under any of the following:

  • Violation of these Terms
  • Interference with the operation of the Service
  • Interference with other users' use of the Service or misuse of their information
  • Conduct that violates laws or public morals

Article 8 (Member Obligations)

Members shall not engage in the following activities:

  • Registering false information during application or changes
  • Misusing another person's information
  • Altering information posted by the Company
  • Transmitting or posting information (such as computer programs) other than that designated by the Company
  • Infringing on the intellectual property rights of the Company or third parties
  • Damaging the reputation of the Company or third parties, or interfering with their business
  • Disclosing or posting obscene or violent messages, images, audio, or other information contrary to public morals on the Service
  • Attempting to reverse-engineer the Service or extract source code
  • Uploading content for which the Member does not have analysis rights (such as copyrighted works of others)
  • Other illegal or improper activities

Article 9 (Copyright and Intellectual Property Rights)

(1) Copyright in content uploaded to the Service by a Member belongs to that Member. By uploading, the Member grants the Company a limited license to process and analyze such content for the purpose of providing the Service.

(2) AI-generated analysis reports, improvement mockups, and development specs are provided for the Member's use.

(3) Copyright and other intellectual property rights in the Service's design, text, images, logos, and other elements belong to the Company. Users may not reproduce, distribute, or commercially use them without the Company's explicit consent.

Article 10 (Disclaimer)

(1) The Company shall be exempt from liability for the provision of the Service in the event of force majeure such as natural disasters or equivalent circumstances.

(2) The Service is provided "as is." AI analysis results and recommendations are provided as reference suggestions. The Company makes no warranties regarding the accuracy or completeness of AI-generated results.

(3) The Company shall not be liable for any disruption to Service use caused by reasons attributable to the User.

(4) The Company shall not be liable for any loss of expected revenue from using the Service, nor for any information obtained through the Service.

Article 11 (Dispute Resolution)

(1) The Company shall make its best efforts to promptly handle complaints and opinions submitted by Users.

(2) Any disputes arising in connection with these Terms shall be governed by the laws of the Republic of Korea, and the Seoul Central District Court shall have jurisdiction.
